Terms of Service
These terms govern your use of CloseDesk (“the service”), operated by Jonathan Lancaster. By signing in, joining the waitlist, or otherwise using the service, you agree to these terms.
1. Who can use CloseDesk
CloseDesk is sold to bookkeeping and accounting firms (“firms”) for use in their professional practice. To create an account you must be authorized to act on behalf of your firm. The service is currently available to early-access firms only; broader availability is gated by an allowlist.
2. Your account and data
Each firm is a separate tenant. Data you put into CloseDesk — including your client roster, document uploads, email send logs, and workflow state — is owned by your firm and isolated from other firms on the platform.
You may export your data at any time as a downloadable archive. On account deletion we delete your firm's data within 30 days, except where retention is required by law (for example, financial transaction logs related to your billing with us).
3. Connected services
When you connect Gmail or Outlook, you grant CloseDesk send-only OAuth access:
- What we can do:compose and send emails on your behalf, addressed to your firm's clients, when triggered by you or by the chase automations you configure.
- What we cannot do: read your inbox, read existing email content, modify drafts, or access any messages we did not send.
When you connect QuickBooks Online, you grant CloseDesk read-only access to your firm QuickBooks data. We pull your client roster and basic company information; we never write back to your books.
4. What CloseDesk does on your behalf
The service automates document chase emails, follow-ups, and packaging work for your firm. The AI sends emails through your connected mailbox under your reviewer's name and address. You are responsible for the accuracy of the templates, the cadence you configure, and the recipients you connect.
5. Acceptable use
You may not use CloseDesk to send unsolicited bulk email, harass anyone, distribute malware, or violate the terms of any connected service (Google, Microsoft, Intuit). You must comply with the CAN-SPAM Act and any other email or anti-spam laws applicable to your jurisdiction. If we believe you are in violation we may suspend or terminate your account without notice.
6. Pricing and billing
During early access, the service is provided free of charge. When we begin charging, we will give you advance notice and the opportunity to cancel before any charges occur. Pricing terms will be added to these Terms at that time.
7. Termination
You may delete your account at any time from the Settings page. We may terminate accounts that violate these Terms or pose a security risk. On termination, you receive a downloadable data archive and your data is deleted within 30 days.
8. Warranties and liability
CloseDesk is provided “as is.” While we try hard to make the service reliable, we do not warrant uninterrupted availability or freedom from defects. To the maximum extent permitted by law, our total liability arising from your use of the service is limited to the amounts you have paid us in the prior twelve months (or one hundred US dollars if you have paid us nothing).
You remain responsible for the accuracy of bookkeeping and tax filings produced for your clients. CloseDesk is a workflow tool, not a substitute for professional judgment.
9. Changes to these terms
We may update these Terms. Material changes will be communicated by email at least 30 days in advance. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
